1. Scope and Parties

1.1 This End User License Agreement ("EULA") governs the use of the software extension "cdm-IT AI Requirements Bridge" (the "App") for Microsoft Dynamics 365 Business Central ("Business Central") between cdm-IT & Consulting Services GmbH ("cdm-IT", "we", "us") and the business customer using the App (the "Customer", "you").

1.2 The App is offered exclusively to businesses (B2B). By installing or using the App you accept this EULA and confirm that you act as a business and not as a consumer.

1.3 The App is distributed through Microsoft Marketplace (AppSource). The purchase, billing, subscription term, renewal and cancellation of App licenses are handled by Microsoft under the Microsoft Commercial Marketplace terms and your agreement with Microsoft. This EULA governs the use of the App. In the event of a conflict regarding purchase and billing, the Microsoft Marketplace terms prevail; in the event of a conflict regarding use of the App, this EULA prevails.

2. License Grant

2.1 Subject to an active subscription purchased through Microsoft Marketplace, cdm-IT grants the Customer a non-exclusive, non-transferable, non-sublicensable right to use the App within the Customer's own Business Central environments for the duration of the subscription.

2.2 Licensing is per user. A license must be assigned to each user who creates or edits requirements or generates documents with the App ("licensed users"). License assignment is performed by the Customer in the Microsoft 365 admin center. Licenses may also be assigned to external consultants or service providers, provided they use the App exclusively on the Customer's data and on the Customer's behalf; the Customer is responsible for such external users' compliance with this EULA as for its own conduct.

2.3 Users of the Customer's Business Central environment without an assigned license receive read-only access to the data created with the App (requirements and generated documents). This read-only access is provided free of charge and also applies after expiry of the subscription, for as long as the App remains installed.

2.4 If a free trial is offered, the scope of this EULA applies to the trial period accordingly. The trial converts into a paid subscription under the conditions displayed by Microsoft at the time of purchase unless cancelled.

3. License Restrictions

3.1 The Customer must not:

  • reverse engineer, decompile or disassemble the App, except to the extent expressly permitted by mandatory law;
  • rent, lease, lend, sell, redistribute or sublicense the App to third parties outside the Customer's own organization;
  • circumvent or attempt to circumvent the App's license verification or technical protection measures;
  • remove, alter or obscure copyright notices, publisher identification or other proprietary markings of the App;
  • use the App to develop a directly competing product.

3.2 All rights in the App, including all intellectual property rights, remain with cdm-IT. The Customer receives only the rights of use expressly granted in this EULA.

3.3 Documents and content generated with the App from the Customer's own data belong to the Customer. cdm-IT claims no rights in the Customer's requirements, specifications or business data.

4. AI Functionality

4.1 The App uses generative artificial intelligence (large language models) provided through Microsoft-managed Azure OpenAI resources ("Business Central AI resources") to conduct the guided requirements dialog and to generate specification documents.

4.2 The use of the AI functionality requires that the Customer's administrator has enabled the relevant Copilot capability in Business Central and, where applicable, has consented to data movement across regions in accordance with Microsoft's settings. Without this activation the AI-supported functions of the App are not available.

4.3 AI consumption is billed separately by Microsoft to the Customer (for example through Copilot credits or pay-as-you-go billing configured by the Customer). AI consumption is not included in the App subscription price and is outside cdm-IT's control.

4.4 Machine-generated content. Content produced by the AI functionality (questions, assumptions, scores, specification documents, effort estimates) is generated automatically and may be incomplete, inaccurate or erroneous. It does not constitute advice by cdm-IT. The Customer is responsible for reviewing all generated content before using it, in particular before commissioning development work, making commercial decisions or passing documents to third parties. Effort estimates generated by the App are non-binding working aids and no basis for fixed-price commitments.

4.5 The availability, models and terms of the underlying Microsoft AI services are determined by Microsoft and may change. cdm-IT will use reasonable efforts to adapt the App to such changes within an appropriate period.

5. Customer Data, Privacy and Telemetry

5.1 All requirements, dialog contents and generated documents are stored exclusively in the Customer's own Business Central environment. cdm-IT has no access to this data and does not operate its own backend for it.

5.2 For the AI functionality, the contents required for the respective request (for example the requirement description, dialog answers and linked object metadata) are transmitted to the Microsoft-managed Azure OpenAI service for processing. Details are described in our privacy statement at cdm-it.de/privacy and in Microsoft's documentation on Business Central AI resources.

5.3 The App collects technical operational telemetry (for example error events, feature usage, durations and token counts) via Azure Application Insights to ensure quality and supportability. This telemetry is restricted by design to technical dimensions and does not include requirement contents or other business data.

6. Updates and Support

6.1 cdm-IT provides updates of the App via Microsoft AppSource and the Business Central update mechanisms, in particular to maintain compatibility with new Business Central versions.

6.2 Support requests can be submitted through the channels listed at cdm-it.de/appsource/ai-requirements-bridge/help. Unless expressly agreed otherwise, support is provided as reasonable-effort support without guaranteed response times.

6.3 The App subscription covers the use of the App and its updates. Professional services — for example installation assistance, configuration, training, data migration, adaptation of the Customer's processes, or analysis of issues caused by the Customer's environment or third-party extensions — are not part of the subscription and are provided only under a separate agreement against separate remuneration.

7. Warranty

7.1 cdm-IT warrants that the App substantially conforms to its product description at the time of installation. The Customer's statutory warranty rights for defects remain unaffected, subject to the limitations in this section and section 8.

7.2 The App is standard software. It is the Customer's responsibility to verify — for example during the free trial — that the App is suitable for the Customer's business requirements and IT environment; no warranty is given for such suitability. Furthermore, no warranty is given for (a) the correctness, completeness or fitness of AI-generated content (section 4.4), (b) impairments caused by the Customer's environment, third-party extensions or modifications of the App, (c) the uninterrupted availability of the underlying Microsoft cloud services, and (d) the free read-only access under section 2.3, which is provided "as is".

7.3 Defect claims require that the Customer reports the defect without undue delay and, upon request, provides reasonable cooperation in its analysis (for example log excerpts, reproduction steps).

7.4 Remedy. In the event of a defect, cdm-IT will, at its own choice, remedy the defect by rectification (for example an update, patch or workaround) or by providing a replacement version. The Customer may reduce the subscription fee or terminate the subscription for cause only if two attempts at subsequent performance for the same defect have failed, subsequent performance is refused or is unreasonable for the Customer. Claims for damages remain subject to section 8.

7.5 Limitation period. Warranty claims become time-barred twelve (12) months after the statutory commencement of the limitation period. This shortening does not apply to claims under section 8.1 or in the case of fraudulent concealment of a defect.

8. Limitation of Liability

8.1 cdm-IT is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and within the scope of a guarantee expressly assumed by cdm-IT.

8.2 In cases of slight negligence, cdm-IT is liable only for the breach of material contractual obligations (obligations whose fulfilment is a prerequisite for the proper performance of the contract and on whose fulfilment the Customer regularly relies), limited to the foreseeable damage typical for this type of contract.

8.3 In all other respects, liability for slight negligence is excluded. Liability for loss of data is limited to the restoration effort that would have been necessary if the Customer had performed regular, risk-adequate backups; the backup mechanisms of the Microsoft cloud remain the Customer's responsibility within their sphere.

8.4 The above limitations also apply in favour of cdm-IT's legal representatives, employees and agents.

9. Force Majeure

9.1 cdm-IT is not liable for a failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to outages or changes of the Microsoft cloud services or the underlying AI services, network failures, acts of government, labour disputes, epidemics or natural disasters, for as long as such circumstances persist.

9.2 cdm-IT will inform the Customer of a force majeure event without undue delay and resume performance as soon as reasonably possible.

10. Term and Termination

10.1 The right to use the App as a licensed user ends upon expiry or cancellation of the subscription managed through Microsoft. Cancellation is performed exclusively through the Microsoft admin interfaces under Microsoft's terms; no separate notice to cdm-IT is required.

10.2 After expiry of the subscription, access for previously licensed users reverts to the free read-only mode (section 2.3). The Customer's data remains in the Customer's Business Central environment and can be exported with Business Central's standard tools at any time.

10.3 The right to terminate for cause remains unaffected. cdm-IT may terminate for cause in particular in the event of a serious breach of the license restrictions in section 3.

11. Final Provisions

11.1 This EULA is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2 If the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is the registered seat of cdm-IT.

11.3 cdm-IT may amend this EULA for future versions of the App with effect for the future, provided the amendment is reasonable for the Customer, taking into account cdm-IT's interests. The version of the EULA published at the time of the respective App version applies.

11.4 Should individual provisions of this EULA be or become invalid, the validity of the remaining provisions remains unaffected.

11.5 Provisions which by their nature are intended to apply beyond the end of the subscription (in particular sections 3, 5, 7, 8 and 11) survive the termination or expiry of this EULA.
